Terms and Conditions to a contract for the provision of services by "GP INNOVATION" Ltd, UIC 203922341, referred to in the contract as the CONTRACTOR, through the internet portal gesto.bg

I. GENERAL PROVISIONS

1. DEFINITIONS

1.1. Contractor means "GP INNOVATION" Ltd, UIC 203922341.

1.2. Client means a natural or legal person who submits a request for the publication of ready informational material on the Contractor's internet portal.

1.3. Contract means a Contract for the provision of services concluded between the Client and the Contractor.

1.4. Services means the Services provided by the Contractor and specified in the Contract for the provision of services or specifically agreed in the Annexes thereto.

1.5. Conditions means the General Terms and Conditions of "GP INNOVATION" Ltd for the provision of the services set out in this document and the special conditions set out in the Contract and in the annexes to the contract.

2. APPLICABILITY

2.1. The Contract for the provision of services concluded between "GP INNOVATION" Ltd /Contractor/ and another party includes:

Annexes No. 1 and 2 to the Contract for the provision of services, an integral part thereof.

The owner of the content of the GESTO.BG website is "GP INNOVATION" Ltd, UIC 203922341. These General Terms and Conditions govern the relations between

"GP INNOVATION" Ltd, hereinafter referred to for short as "GESTO.BG", on the one hand, and a natural or legal person, an unincorporated association, a state or municipal institution or another entity, on the other hand, who has loaded the domain GESTO.BG in their browser or otherwise gains access to the content of the GESTO.BG website. The online portal is created and maintained by "GP INNOVATION" Ltd and is located at the following internet address: www.gesto.bg. Through the online portal, clients are given the opportunity to obtain the information contained on the website or to make use of it in the manner described in these General Terms and Conditions and after their express acceptance by the clients.

These Terms of Use also regulate the relations between "GP INNOVATION" Ltd and the clients using the services of the website. The use of the latter by the users is deemed to be agreement with the Terms of Use. In case of disagreement, clients are released from any obligation to use the services of the portal.

GESTO.BG provides its services without assuming any liability for any physical or logical problems arising on users' computers, such as loss of information, infection with viruses and others.

"GP INNOVATION" Ltd provides unimpeded, direct and permanent access for users and the competent authorities to the following information, both through its publication in these General Terms and Conditions and at the telephone number indicated below: +359 892 713 639

Control over the activity of "GP INNOVATION" Ltd is exercised by the Consumer Protection Commission, the Commission for Personal Data Protection and the Commission for Protection of Competition pursuant to the Electronic Commerce Act and the Consumer Protection Act.

GESTO.BG provides the opportunity for advertising in the portal to all operating companies on the territory of the Republic of Bulgaria.

All services offered by GESTO.BG may be used solely and exclusively for activities that are not prohibited by law.

The sending of unsolicited mail and/or the generation of electronic messages with malicious intent are contrary to the policy of GESTO.BG.

Unsolicited mail is classified as messages with advertising purposes sent through the "keywords" service to multiple clients of the portal who have not expressed a wish to receive such kind of information.

II. Rights and obligations of GESTO.BG

Publication of the up-to-date information provided by the company. Timely provision of the paid service and registration of those who have paid a subscription. GESTO.BG informs its clients that it accepts as the moment of payment the date of the bank document for the transfer of the amount.

Timely correction of records at the client's request. Editing of incorrectly submitted data on the activity of the company. Prevention of records with pornographic or erotic content and those violating the laws of the Republic of Bulgaria and international acts.

GESTO.BG does not publish the official information of the participating companies except with their consent, with the exception of cases where the rights and interests of GESTO.BG are affected or if this is requested in accordance with the relevant legal procedure by state authorities.

GESTO.BG reserves the right, without prior notice, to terminate its relationship with a client in the event that it establishes violations in the fulfilment of the General Terms and Conditions of use, the laws of the Republic of Bulgaria and international acts, and shall not owe any indemnities or compensation.

GESTO.BG assumes no liability for the relations of clients with third parties, and assumes no liability for lost profits and damages suffered, infringement of copyright and others arising from such kind of relations.

GESTO.BG reserves the right to change and improve its services at any time, undertaking to notify its clients by publishing the changes on its website. In the event that clients do not declare disagreement with the changes made within a seven-day period, they shall be deemed bound by them.

III. Rights and obligations of clients and users

A Client is any person who provides "GP INNOVATION" Ltd with information for the purpose of entering this information in the GESTO.BG online portal. The Client bears full responsibility for the meaning and accuracy of the information published in the portal, undertaking that it shall not be contrary to the laws of the Republic of Bulgaria, an infringement of copyright or international acts.

In the event of subsequent disagreement with the policy and the conditions set for clients by GESTO.BG, the client may terminate their relationship with the portal early, but shall not be entitled to any compensation or indemnities.

By applying to participate in GESTO.BG, the Client waives all rights to the wording, arrangement and structure of the information provided and declares that they hold the relevant copyrights that allow them to provide "GP INNOVATION" Ltd with the photographs, graphics, logos and other materials submitted by them.

The Client has no right to enter information that violates moral norms, the rights and freedoms of citizens in accordance with the Constitution of the Republic of Bulgaria and international acts.

A User is any person who has loaded the domain GESTO.BG in their browser or otherwise gains access to the content of the GESTO.BG website. The User has the right only to become acquainted with and use the information from GESTO.BG, in accordance with its commercial purpose, namely – with the aim of establishing contact with the relevant Clients.

The User has no right, without the express written consent of "GP INNOVATION" Ltd, manually or by means of computer programs, to extract the content or parts of the content of the GESTO.BG website, including the data provided by the clients, which by their wording, arrangement and structure are the subject of copyrights provided by the clients to "GP INNOVATION" Ltd, nor to copy the photographs, graphics, logos and other materials located on the website.

The Client and the User may use the information from GESTO.BG but have no right to download it in any way, to sell, resell or provide it to third parties.

IV. Technical requirements

Text information or photographs, logos and advertisements may be submitted for entry into GESTO.BG by electronic mail or through an individual user account.

All images must be in JPG/JPEG format. The maximum file size is 10MB, and the maximum resolution is 3000x3000px.

V. Copyright

The database, the information about the companies on GESTO.BG, the logos, photographs, images and texts available on the website, as well as the wording, arrangement and structure of the data accessible from the website, are subject to copyright. All financial and organizational initiative for the collection, arrangement, control and selection of the information accessible from the domain www.GESTO.BG is the work of "GP INNOVATION" Ltd.

The GESTO.BG database is publicly accessible for the purpose of being used by users and clients. The copyright in databases belongs to the person who carried out the selection or arrangement of the information included. Any company carrying out competing activity within the meaning of the Protection of Competition Act that uses information taken from GESTO.BG in violation of the law shall be held liable.

VI. Confidentiality

1. Each of the parties undertakes:

1.1 not to disclose, not to divulge and not to make known in any way to any other person any confidential information or materials of any kind related to the Contracts for the provision of services concluded between them, the annexes thereto, agreements and addenda to the Contract.

1.2. within the meaning of these General Terms and Conditions, confidential is the information that each of the parties has received during or in connection with the performance of its obligations under the Contract for the provision of services, including information about the content of documents, concepts, ideas, events, conversations, working methods and special techniques used or created by the Contractor or the Client and any financial information and information concerning their commercial activity.

1.3. The parties have the right to use confidential information only in connection with the performance of their obligations under this contract.

VII. OTHER CONDITIONS

Changes in national or European legislation that concern the services relating to advertising, the subject of these General Terms and Conditions, shall apply to already concluded but not yet performed Contracts, unless the law provides otherwise or if the changes are not mandatory. In the latter case, the changes shall apply only if the Contractor has expressly requested this. In this case, the performance of the relevant Order shall be delayed by as much time as is necessary to comply with the requirements of the law. Liability for the violation of Bulgarian legislation, as well as for any infringements of the rights of third parties, in connection with the Protection of Competition Act and the right to protection against unfair competition, personality rights, copyright and related rights and intellectual and industrial property rights, is borne entirely by the Client for the ready advertising materials provided by them. In view of the foregoing, and in the event that third parties bring claims and/or actions of any nature against the Contractor, the Client agrees to fully indemnify the Contractor.

All disputes arising from/under these General Terms and Conditions, as well as from the concluded Contract for the provision of services and relating to it, including disputes arising from or relating to its interpretation, invalidity, performance or termination, as well as disputes regarding the filling of gaps or its adaptation to newly arisen circumstances, shall be resolved by the parties through negotiations, and where it is impossible to reach an agreement – by the competent Bulgarian court, in accordance with the provisions of Bulgarian law. These General Terms and Conditions may be amended unilaterally by the Contractor. In the event that such an amendment is made, the updated General Terms and Conditions shall be published on the website of the Client. If, within a period of 7 /seven/ calendar days from the amendment of the General Terms and Conditions, no express rejection of the amendment made is received from Clients who have already accepted the General Terms and Conditions, then they shall be deemed to accept them and they shall apply in their subsequent legal relations.

VIII. Registration, account and the "digital/PDF menu" service

8.1. Through the registration form on gesto.bg, any venue may create an account to use the "digital/PDF menu" service. Upon registration, the name of the venue, an email address and a contact telephone number are provided.

8.2. Following successful registration, the system automatically creates an account and generates an access password, which is sent to the specified email address. We recommend that the password be changed upon first login. The Client is obliged to keep their password secret and bears responsibility for all actions carried out through their account.

8.3. The "digital/PDF menu" service allows the venue to publish its menu in electronic form, including as a PDF file accessible to end users.

8.4. If a venue begins registration and fills in data but does not complete it, the entered data may be retained for the purpose of assisting with the completion of the registration, under the conditions of the Privacy Policy.

8.5. The terms of use, the scope of the service, its price (if applicable) and the procedure for termination are governed by the Contract for the provision of services and the annexes thereto.

IX. Protection of personal data

9.1. "GP INNOVATION" Ltd processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the applicable Bulgarian legislation. Detailed information about the data processed, the purposes, the legal bases, the retention periods and the rights of data subjects is contained in the Privacy Policy, which is an integral part of these General Terms and Conditions.

9.2. By accepting these General Terms and Conditions upon registration, the client confirms that they have read the Privacy Policy.
